BY-LAWS

 

KERN RIVER VALLEY GUN ASSOCIATION

 

ARTICLE I     NAME

 

The name of this organization shall be the KERN RIVER VALLEY

GUN ASSOCIATION

 

 

ARTICLE II    OBJECT

 

The object of this organization shall be the encouragement of organized rifle, pistol and shotgun shooting among members, their guests and the public, with a view toward a better knowledge on the part of such citizens, of the safe handling and proper care of firearms, as well as improved marksmanship. It shall be our further object to forward the development of those characteristics of honesty, good fellowship, self-discipline, camaraderie and the foundation of true patriotism.

 

This association is organized and operated exclusively for social welfare purposes within the meaning of Section 501 Chapter (4) of the Internal Revenue Code.

 

Notwithstanding any other provision of these articles, the association shall not carry on any other activities not permitted to be carried on by an association exempt from federal income tax under Section 501 Chapter (4) of the Internal Revenue Code.

 

The property of this association is irrevocably dedicated to social welfare purposes and no part of the net income or assets of this organization shall ever inure to the benefit of any director, officer, or member thereof or to the benefit of any private person.  Upon the dissolution or winding up of the association, its assets remaining after payment or provision for payment of all debts and liabilities of this association, shall be distributed to a non-profit fund, foundation or corporation which is organized and operated exclusively for social welfare purposes and which has established its tax exempt status under Section 501 Chapter (4) of the Internal Revenue Code.

 

 

 

 

 

 

 

ARTICLE III   MEMBERSHIP

 

Membership in the Kern River Valley Gun Association, affiliated with the National Rifle Association of America and the California Rifle & Pistol Association, Inc., hereinafter referred to as KRVGA, NRA and CRPA respectively, shall consist of (2) types, namely: Resident or Non-Resident.

 

Section 1 – Resident Members

 

Resident Members shall be defined as any individual of voting age who is
legally entitled to own and use a firearm in compliance with the laws of the
United States of America and the State of California, a permanent resident of the Kern River Valley and having paid the set initiation fee and dues or a Life member.

 

Section 2 – Non-Resident Members

 

Non-Resident members shall be defined as any individual of voting age who is legally entitled to own and use a firearm in compliance with the laws of the United States of America and the State of California, not a permanent resident of the Kern River Valley and having paid the set initiation fee and dues or a Life member.

 

Section 3 – Voting Rights

 

Each member shall carry one vote and must be present when the vote is taken.

 

 

ARTICLE IV  INITIATION FEES AND ANNUAL DUES

 

Section 1

 

Initiation fees and members annual dues to the club shall be set at the annual meeting.

 

Section 2

 

Dues are payable on January 1st  of each year and shall be delinquent on February 1st.  No member of the club in arrears more than twenty-five (25) days shall be eligible to vote or enjoy any other privileges or benefits offered by the club.

 

Section 3

 

The dues of all members entering the Armed Forces of the United States shall be suspended for such period of time as the Executive Committee deems advisable but not to exceed six (6) months after said member resumes his civilian status.

 

 

 

Section 4

 

Any sworn active duty or reserve law enforcement officer, firefighter or member of the Forestry Service is exempt from initiation fees and annual dues.  Complimentary memberships may be given at the Executive Committee’s discretion.

 

Section 5

 

Membership cards are nontransferable.  The cardholder must be present and accompany any guests they bring onto the range at all times. If the cardholder leaves the range, the guest must also depart.  The only exception being a day open to the public, the guest may stay, if they pay the public shooter fee.  Members may not bring more than three (3) guests at any one time.

 

 

ARTICLE V   MEETINGS

 

Section 1 – Annual Meeting

 

The Annual meeting of the club shall be held on the third Thursday of

November in each calendar year.  The nominations for the next year’s officers shall be held at the October meeting, with elections at the November meeting.  The newly elected officers shall take their positions on January 1 of the following year.  At this time, the gate code will also be changed.  For a grace period, not to exceed thirty (30) days, the prior year’s gate code will remain in effect in conjunction with the new year’s gate code.

 

If the Annual meeting shall not take place at the time fixed, it shall be held within a reasonable time thereafter and the officers shall hold over until their successors shall have been elected.

 

Section 2 – Regular Meetings

 

The regular meeting of the club for the transaction of ordinary business shall be held monthly on the 4th Thursday at a place fixed by the Executive Committee.  To afford Non-Resident members the opportunity to attend, a regular meeting of the club may be conducted on the 4th Friday or any Saturday of a month.  Notice of Friday or Saturday meetings may be sent by United States Postal Service or by E-Mail to all members no later than ten (10) days prior to said meeting.  Said notice shall specify the time, date and place of said meeting.

 

Section 3 – Special Meeting

 

A Special meeting of the club may be held at any time upon the call of the

President; or upon the call of the Executive Committee; or upon the demand of a two-thirds vote of the members present at any meeting.  The time and place of such special meeting shall be fixed by the Executive Committee.

 

Section 4 – Attendance Sheet

 

At all meetings of the general membership, the members present shall sign an attendance sheet to be supplied and held available by the club Secretary.

 

Section 5 – Notice of Meetings

 

Notice of meetings may be sent by United States Postal Service or by E-Mail to all members no later than ten (10) days prior to said meeting. Said notice shall be by a schedule or by a special notice and shall specify the time, date and place of said meeting.

 

Section 6 – Quorum

 

A quorum shall be at least fifteen (15) members of the KRVGA at any legal meeting of the club.

 

 

ARTICLE VI OFFICERS AND EXECUTIVE COMMITTEE

 

Only members in good standing with both the KRVGA and NRA shall be eligible for office.

 

Section 1

 

The (5) officers of this club shall be a President, Vice President, Secretary,

Treasurer and Range Executive Officer, who, acting together shall constitute the Executive Committee. They shall be elected by a majority vote of the members in good standing present at the annual meeting of the association. They shall hold office for one year or until their successor are elected. None of the five officers may be combined.

 

Section 2

 

The Executive Committee shall have general supervision and control of all the activities of the club.  With the exception of normal operating costs, the Executive Committee cannot incur any costs exceeding $500 without obtaining approval by a two-thirds vote of the membership, when a quorum is present.

 

Section 3

 

Meetings of the Executive Committee shall be held at such time and place as the Committee may determine.  The meetings may be held at any time on the call of the President or by three (3) members of the committee.

 

Section 4

 

Three members of the Executive Committee shall constitute a quorum.

 

Section 5

 

Resignation of any officer may be accepted by a majority vote of the remaining members of the committee.

 

Section 6

 

A vacancy in the committee may be filled by a majority vote of the remaining members of the Executive Committee.  However, if more than one vacancy exists, a special meeting of the club shall be called and new officers shall be elected to fill the vacancies until the date of the next annual meeting as provided in Section (1).

 

 

 

ARTICLE VII DUTIES OF OFFICERS

 

President

 

The President shall preside at all meetings of the club and of the Executive Committee.  The president shall be a member ex-officio of all regular and special committees and shall perform all such duties as usually pertain to his office.  The President may appoint committees they deem necessary.

 

Vice President

 

The Vice President shall perform the duties of the President in their absence or at their request.  The Vice President shall be responsible for overseeing the execution of the annual Operating Plan and Environmental Stewardship Plan, as they pertain to the range facility.

 

Secretary

 

The Secretary shall conduct all official correspondence of the club. The Secretary shall notify the members of the Executive Committee of all meetings and shall notify all members of regular and annual meetings as specified in Article (5), Section (5).  The Secretary shall keep a true record of all meetings of the Executive Committee and of the club.  The Secretary shall have the custody of the books and Papers of the club, except the Treasurer’s books of account.

 

Treasurer

 

The Treasurer shall have charge of all funds of the club and place the same in such bank or banks as may be approved by the Executive Committee.  Such money shall only be withdrawn by check, signed by the Treasurer or their designee and for payment of such bills as shall have been approved by the Executive Committee.  The Treasurer shall keep an accurate account of all transactions and render a detailed report with vouchers at any meeting of the Executive Committee when requested and an annual report to the organization at its annual meeting.  The Treasurer shall also be responsible for re-affiliating the club annually with the NRA and the CRPA.

 

All applications for membership shall be made to the Treasurer.  The Treasurer shall be responsible for the collection of all fees and dues. The Treasurer shall be responsible for keeping an accurate membership roster and providing all or portions of the roster for other members of the Executive Committee.

 

Range Executive Officer (REO)

 

The REO shall develop and maintain a course curriculum for training and certifying Range Safety Officers (RSOs).  The REO shall schedule RSOs for days when the range is open to the public or other special shooting events where RSOs are required.

 

 

The following positions are non-Executive Committee Members but are appointed positions by the current KRVGA President:

 

Range Maintenance Officer (RMO)

 

The Range Maintenance Officer shall be responsible for execution of the annual Operating Plan and Environmental Stewardship Plan, as they pertain to the range facility.    The RMO shall contract no bills without the authorization of the Executive Committee.

 

Chief Instructor

 

The Chief Instructor shall have the authority to appoint his/her assistants.  The Chief Instructor shall contract no bills without the authority of the Executive Committee.  Any person receiving payment for instructions/lessons/training at the range must be a NRA certified trainer, provide proof of insurance and be approved by the Executive Committee, prior to giving instructions/lessons/training.  A nominal range use fee of $5.00 per trainee per class will be paid to the club.  Additionally, use of the meeting/training room, for approved instructions/lessons/training, shall pay the club a nominal fee of $5.00 per student per class.  Fee is per class; not per day (i.e. Classes spanning two consecutive days [Saturday and Sunday] constitutes one class).

Competition Director or Competition Chairpersons

The Competition Director shall be responsible for scheduling and directing all monthly club competitions, keeping records regarding the competitions and presenting monthly/annual competition awards.

 

 

 

ARTICLE VIII SUSPENSION OR EXPULSION

 

(a)       Any officer may be removed by a two-thirds vote of the members in good standing present at any special meeting called for this purpose.  No vote for suspension or removal may be taken unless at least fifteen (15) days notice in writing shall have been given to the officer for the reasons for his/her removal and of the time and place of the special meeting at which such ballot on his removal is to be taken.  At such meeting the officer shall be given a full hearing.

 

(b)       Any member may be suspended or expelled from the club for any cause deemed sufficient by the Executive Committee by a two-thirds affirmative vote of the members of the Committee present at any regular or special meeting.  No voice on suspension or expulsion may be taken unless at least fifteen (15) days notice in writing shall have been given to the member of the charges preferred and of the time and place of the meeting of the Executive Committee at which such charges will be considered.  At such meeting the member under charges will be accorded a full hearing.

 

 

(c)      Charges against any officer or member may be preferred by any member in good standing.  They shall be in writing, clearly stating the facts relied upon and accompanied by all affidavits or exhibits which are to be used in their support.  Such charges shall be filed with the Secretary, who will immediately notify the President.  The President will call a meeting of the Executive Committee to hear the charges.  The Secretary will give at least fifteen (15) days notice of the meeting to each member of the committee and to the accuser and the accused.  The notice will be in writing and will include a true copy of the charges and of the supporting affidavits and exhibits.

 

(d)       Any member suspended or expelled by the Executive Committee may appeal to the full membership of the club.  Such appeal shall be made in writing to the Secretary who will notify the President. The President will call a special meeting of the club for the purpose of acting on the appeal.  The Secretary shall give at least fifteen (15) days notice in writing via email or postal service to all members of the club in good standing, stating the date, time, place and reason for such special meeting.  At the meeting of the full club the Secretary will read the original charges, the supporting affidavits and will read or display the accompanying exhibits and will read the minutes of the special meeting of the Executive Committee at which the charges were heard and action taken.  A full hearing will be given the accuser and the accused.  A vote will be taken by ballot of the members in good standing present and a two-thirds vote shall be required to reverse the action of the Executive Committee.

 

(e)       Any officer or member of the club who has been suspended or expelled by the NRA shall automatically stand suspended or expelled from this club upon receipt of official notice to the Secretary of this club from the Secretary of the National Association.

 

ARTICLE IX MATCH RULES

 

All rifle, revolver, pistol or shotgun competitions held by the club will be

governed by the rules and regulation laid down by the NRA, approved by the National Board for the promotion of Rifle Practice and the Secretary of the Army.

 

ARTICLE X   AMENDMENTS

 

Any proposed amendments to these By-Laws may be introduced by any member of the club at any regular meeting or special meeting called for the purpose.  Such amendments must be approved by a two-thirds vote of the membership when a quorum is present.

 

 

ARTICLE XI  CERTIFICATION

 

This is to certify that the foregoing eleven (11) pages is a true and correct copy of the By-Laws of the Association named in the title thereto and that such By-Laws were duly adopted by the Executive Committee and the Members of said association.
